Terms of Service

These Terms of Service ("Terms") govern your use of Ledger Optics (the "Service"), operated by QADAN ANALYSIS CONSULTING PTY LTD (ABN 20 655 113 670) ("we", "us", "our"). By connecting the Service to a Xero organisation or otherwise using it, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Ledger Optics is a web application that connects to your Xero organisation and helps bookkeepers and accountants identify and correct inconsistent accounting data — such as records whose account code, GST/tax type, or tracking category is inconsistent with their peers. The Service surfaces suggested corrections for your review and can write approved corrections back to Xero.

2. The Xero connection

To use the Service you authorise a connection to your Xero organisation via OAuth 2.0. You represent that you are authorised to grant this access for the organisation(s) you connect. You may revoke this authorisation at any time from within Xero or by disconnecting the Service.

3. Changes to your data — your approval is required

The Service reads data from Xero to perform its analysis. It writes changes back to Xero only when you explicitly approve them, on a per-change basis. The Service does not make automated changes. You are responsible for reviewing each suggested change before applying it, and for deciding whether it is appropriate for your records.

5. No warranty

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any suggested correction is accurate or suitable for your circumstances. Always review changes before applying them. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded.

6. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. To the extent our liability cannot be excluded but can be limited, our total aggregate liability is limited, at our option, to re-supplying the Service or paying the cost of having it re-supplied.

7. Suspension and termination

You may stop using the Service at any time by disconnecting it and logging out. We may suspend or discontinue the Service, or terminate access, where reasonably necessary — for example for maintenance, security, or breach of these Terms.

8. Changes to these Terms

We may update these Terms from time to time. The current version is available at https://ledgeroptics-au.azurewebsites.net. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

9. Governing law

These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that jurisdiction.
